AI Credits Terms and Conditions

1. Acceptance of Terms

By accessing or using the AI Credits website ("Site") and services, you ("User") agree to comply with these Terms and Conditions. If you do not agree, you must not use the Site.

2. Nature of Services

AI Credits operates as a brokerage and intermediary service that connects buyers and sellers of unused AI and cloud credits. AI Credits is not a marketplace, exchange, or platform where transactions are executed.

Specifically, AI Credits:

Displays listings of available credits (supply) and credit requests (demand) on the Site for informational purposes
Matches potential buyers with verified sellers based on their requirements
Verifies the legitimacy and balance of credits before facilitating introductions
Facilitates communication and due diligence between parties
Assists with structuring deals, including escrow arrangements and documentation

AI Credits does not:

Process payments between buyers and sellers
Hold, transfer, or take custody of credits at any time
Act as a party to any transaction between buyers and sellers
Guarantee the completion of any deal

All transactions are conducted directly between the buyer and the seller (or vendor) pursuant to separate service agreements entered into by those parties. AI Credits is not a party to such agreements unless expressly stated in writing.

3. Eligibility

Users must be at least 18 years old and legally capable of entering into binding contracts. Business users represent that they have authority to act on behalf of their organization.

4. Website Content and Listings

Listings displayed on the Site are for informational purposes only and do not constitute an offer to sell or a solicitation to buy. Listing details (credit amounts, providers, discounts, validity dates) are approximate and subject to verification.

AI Credits makes reasonable efforts to ensure listing accuracy but does not guarantee that any listing is current, complete, or available at the time of inquiry.

5. User Accounts

Users may create accounts to express interest in buying or selling credits. Account creation does not obligate AI Credits to provide any services or facilitate any transaction.

Users are responsible for maintaining the confidentiality of their account credentials and for all activity under their account.

6. Brokerage Fees

AI Credits may charge brokerage fees or commissions for its intermediary services. Fee structures are communicated to the relevant parties before any deal is finalized. Fees are separate from the transaction price agreed between buyer and seller.

7. Verification and Due Diligence

AI Credits performs verification of credit balances, account legitimacy, and seller identity before facilitating introductions. However, AI Credits does not guarantee the accuracy, validity, or longevity of any credits or accounts beyond the point of verification.

8. Confidentiality

AI Credits treats all user information, deal details, and communications as confidential. Buyer and seller identities are not disclosed to each other without consent. Mutual NDAs are available upon request.

The existence and terms of any engagement with AI Credits shall remain confidential unless disclosure is required by law.

9. Limitation of Liability

AI Credits acts solely as an intermediary. To the maximum extent permitted by law:

AI Credits is not liable for any loss, damage, or claim arising from transactions between buyers and sellers
AI Credits is not liable for any actions, suspensions, or restrictions imposed by credit providers (OpenAI, Anthropic, Google, AWS, Azure, GCP, or others)
AI Credits is not liable for any unauthorized access, security breaches, or misuse of credits after a transfer facilitated through its introductions
AI Credits' total liability for any claim related to its brokerage services shall not exceed the brokerage fees actually paid by the claimant to AI Credits in connection with the relevant transaction

10. Indemnification

Users agree to indemnify and hold harmless AI Credits, its directors, officers, employees, and affiliates from any claims, damages, or liabilities arising from:

Their participation in any transaction facilitated through AI Credits
Their breach of these Terms
Their violation of any applicable law or third-party rights

11. Intellectual Property

All content on the Site, including text, graphics, logos, and software, is the property of AI Credits and protected by applicable intellectual property laws. Users may not reproduce, distribute, or create derivative works from Site content without written permission.

12. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region.

Any dispute arising out of or in connection with these Terms shall first be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to binding arbitration under the Hong Kong International Arbitration Centre (HKIAC) Administered Arbitration Rules, with venue in Hong Kong.

13. Termination

AI Credits reserves the right to suspend or terminate any User's access to the Site and services at any time, with or without cause, including for violation of these Terms.

14. Changes to Terms

AI Credits reserves the right to modify these Terms at any time. Updated Terms will be posted on this page. Continued use of the Site after changes constitutes acceptance of the revised Terms.
